What is a series LLC?
A series LLC is a specialized LLC structure available in certain jurisdictions that allows a parent LLC to establish separate “series” within the broader LLC framework. Each series may be permitted to hold its own assets, conduct different business activities, or have separate obligations, subject to applicable state law. Series LLC laws and requirements vary by state, and not every state permits or recognizes this structure. Swyft Filings does not currently offer series LLC formation services.
Swyft Filings offers nonprofit formation services and also provides a separate 501(c)(3) application service for qualifying organizations seeking federal tax-exempt recognition. These are distinct steps: state nonprofit formation creates the legal entity, while federal tax-exempt recognition is determined separately under IRS requirements.
Nonprofits may also need an EIN, bylaws, directors, conflict-of-interest procedures, state charitable registrations, initial or annual reports, and other filings depending on their activities and location. Specialized structures such as professional entities, series LLCs, and benefit corporations have additional state-specific rules and are not universally available.
