How to Get a Registered Agent in Illinois

The term registered agent appears in LLC formation documents, but not every business owner understands what these agents do, who appoints them, and why they’re needed.

This article covers the requirements for an Illinois registered agent, how to elect or change one for your business, and the importance of making the right choice when it’s time to choose yours.

Key Takeaways

  • An Illinois registered agent is a point of contact elected by business owners to accept legal correspondence and other critical mail.
  • An individual or business entity may serve as a registered agent, but a third-party registered agent service is recommended.
  • It’s mandatory to elect a registered agent to remain in good standing with the state of Illinois.

What Is a Registered Agent?

A registered agent is an individual or business entity appointed by a business owner to accept legal documents from process servers. Also known as statutory agents, Illinois registered agents essentially act as a point of contact between an Illinois LLC or corporation and the government.

According to state statutes, Illinois dictates that every company designate a registered agent before they can operate in the state.[1]

Depending on their expertise, Illinois registered agents can fulfill more obligations on the client side. While some responsibilities are mainly extra to enhance the quality of life for their clients, other duties are mandatory to remain in good standing.

Registered Agent Responsibilities

An Illinois registered agent has a wide range of responsibilities regarding state compliance. These include the following:

  • Maintain a physical street address as the registered office listed in the public record
  • Be available to accept legal documents during regular business hours
  • Inform clients of deadlines for corporate filings like annual reports, franchise tax, and other service of process notifications
  • Forward critical mail notices and legal correspondence
  • File relevant office relocation paperwork with the Illinois Secretary of State

Choosing Your Illinois Registered Agent

Although an Illinois registered agent performs vital services, not everyone can be appointed to fulfill the role. You must choose the right person or business entity that fits the requirements and is best for your business.

Illinois Registered Agent Requirements

According to the Illinois Secretary of State, individuals can be registered agents for an Illinois limited liability company (LLC), nonprofit organization, corporation, or other business entity if they meet the following requirements:

  • Be over the age of 18
  • Be a state resident in good standing with the state
  • Have a physical address that can serve as the registered office

An Illinois business can also elect a business entity to serve as its LLC registered agent. To qualify, the entity must have a registered office address and authorization to conduct business in the state.

It’s important to note that you can only choose a domestic or foreign LLC registered agent service provider if they meet the above requirements.

Can I Be My Own Registered Agent in Illinois?

You can’t name your company as the elected point of contact, but you, as an individual, can serve as your own registered agent. The Illinois Secretary of State also allows a company officer to serve as a statutory agent for a business entity.

While this appears to be the most straightforward approach to fulfilling the registered agent requirement, it’s not always the case. Let’s discuss the pros and cons of being your own registered agent in Illinois.

  • Advantages
  • Disadvantages
  • Avoid paying a third party to accept and handle legal correspondence on your behalf
  • Need to invest in an office space if you have an out-of-state or foreign company
  • Enjoy greater confidentiality with legal communications
  • Must keep regular business hours and strict schedules
  • Accumulate more legal knowledge by staying on top of state regulatory changes
  • Must list the registered office address on the public record, even if it’s your personal home or office
  • Use your existing business or personal home address as your registered office
  • Require organizational skills to sort through legal correspondence and prioritize notices
  • Focus on corporate filing deadlines and other registered agent tasks instead of business productivity
  • Can get served publicly in front of friends, family, clients, or staff, which affects reputation and credibility

Benefits of a Third-Party Registered Agent

Considering the disadvantages of being your own registered agent, many business owners choose to elect an Illinois registered agent service. An outside party can fulfill your registered agent requirement while providing additional compliance benefits. These include, but are not limited to:

  • Helping business owners meet corporate filing deadlines and fulfill compliance notifications
  • Sending automated and timely reminders to avoid penalties and legal consequences
  • Keeping regular business hours so business owners can create flexible schedules, network, and travel
  • Avoiding the need to relocate or open a new office for out-of-state businesses
  • Forwarding mail and urgent legal notices same-day through secure online channel
  • Providing additional privacy by keeping office and home addresses off the public record
  • Filtering junk and promotional mail to prioritize legal correspondence and deadlines
  • Avoiding additional state filing fees when a business expands to new states or territories
  • Offering advisory and other complementary services to make business owners’ lives easier

The best registered agent services offer peace of mind to new business owners by helping them maintain compliance for years. If you’re interested in a third-party registered agent for your LLC or corporation, our reliable and trusted registered agent service could be the solution for you. We’ll fulfill your registered agent requirement while ensuring your business stays private, compliant, and successful.

How to Set Up Your Illinois Registered Agent

Business owners should know what to look for in a registered agent for their Illinois LLC or corporation. But, more importantly, they must also know how to elect or change one, with or without hiring a third-party service.

Electing an Illinois Registered Agent

Before the Illinois Secretary of State can authorize your company to transact, you must name a registered agent on your formation documents and pay the state fees.

An LLC must elect a registered agent in their Articles of Organization, while corporations appoint agents in their Articles of Incorporation.[2,3] You will need your registered agent’s name, address, and contact information.

We can handle all the paperwork and fulfill your registered agent requirement in one simple order. Alternatively, you can open an online account on the Illinois Secretary of State website and submit your forms. It costs $150 in state filing fees to incorporate an LLC or corporation in Illinois or $250 for expedited processing. You may also pay an extra $2 in transaction fees.[4]

If you prefer to send your formation documents via mail, here are the two addresses you should keep in mind.

  • For LLCs:
  • For corporations and nonprofits:
  • Secretary of State – Department of Business Services
  • 501 S. Second St., Rm. 351
  • Springfield, IL 62756
  • Secretary of State – Department of Business Services
  • 501 S. Second St., Rm. 350
  • Springfield, IL 62756

Changing an Illinois Registered Agent

If you have an existing Illinois registered agent but are looking to switch to a new one, you must submit an LLC Change of Registered Agent or Agent’s Office Address form.[5] You can download the Statement of Change of Registered Agent or Registered Office if you own a corporation.[6]

You must pay $25 in state fees, and processing can take up to 10 business days. LLCs can choose expedited service for a total of $75, and corporations can get expedited service for an extra $50. Credit card payments may incur an additional $2 in transaction fees.[7]

You’ll need the former and new registered agents’ names, addresses, and contact information to submit these forms. Although you can complete this process online, you can also mail the documents or submit them in person at the addresses above.
