What is an amendment?

In the general sense, an amendment is any change made to a document. In this context, the amendment is a change to the formal documents that are filed with your Secretary of State. In those situations, you will likely have to file a formal and official amendment with the Secretary of State. Filing an Articles of Amendment form will formally alter information on your Articles of Incorporation or Articles of Organization.

What types of changes will require the filing of an amendment?

If you make any change to documents filed with the Secretary of State which usually include your Articles of Incorporation or Articles of Organization or your annual reports. Some more common changes include:

  • Business name

  • Principal office

  • The company purpose

  • The names of officers, directors or owners

  • Authorized shares

What information is required when filing an Articles of Amendment?

You’ll need to provide the following basic information:

  • The current entity name of your business

  • If you’re changing the business name, the new name you’d like to change it to (if you’re unsure if the new business name you’re wanting is available, find out here)

  • The text of the new amendments that your business is adopting

  • The date that the amendment was adopted
