Foreign qualification is the formal process required to legally register your business to conduct itself in a state other than the one in which it originally incorporated. As such, a company is only domestic to the state with which it filed its initial incorporation documents, and foreign in any others. An organization cannot typically transact business in a "foreign" state, until it has gone through the official foreign qualification process.
To legally transact business in a state other than the one in which you originally incorporated, your company may need to formally register. This registration process is called "foreign qualification".
Swyft Filings can take care of each step of the foreign qualification process on behalf of your business, leaving you free to invest your time in your normal operations and helping your company grow in its new market.

Foreign Qualification FAQs
What is Foreign Qualification?
What officially constitutes as "transacting business" in another state?
If your company has or does any of the following within a state, it is considered to be "transacting business" within it:
- You have a physical location or address in the state.
- You have employees in a state.
- Your company has financial accounts in the state.
- You commonly accept orders from within the state's borders
Unless your business is native to the state in which you do or have any of these things, it will need to successfully foreign qualify in order to continue operating legally.
Are there any fees my business must pay to foreign qualify in a state?
The fees associated with the foreign qualification process vary greatly from state to state. In addition, please keep in mind that there will often be additional annual report and state tax fees that will be due on an ongoing basis with each state in which your business foreign qualifies.
What administrative processes must my business observe during foreign qualification?
There is typically a substantial amount of paperwork required of companies during foreign qualification. Most states will require you to file for a Certificate of Authority during this process, which officially signifies that you are authorized to conduct business in that state. However, before you can acquire this Certificate, some states will first require you to obtain a Certificate of Good Standing from your original state of incorporation. This document proves that your company has been operating in accordance with all of the regulations your native state imposes on your business, and will likely continue to do so in your new state of qualification. Our full qualification service will take care of the acquisition and filing process for both of these documents, if necessary.
What happens if my company's name is not available or valid in my desired state of foreign qualification?
Should your company's preexisting name be unavailable in your new state of qualification, you will have two choices. You can either officially select a new name to be attached to your company's extension in its new state, or elect to simply adopt aDoing Business As (a fictitious business name).
