    Foreign qualification is the formal process required to legally register your business to conduct itself in a state other than the one in which it originally incorporated. As such, a company is only domestic to the state with which it filed its initial incorporation documents, and foreign in any others. An organization cannot typically transact business in a "foreign" state, until it has gone through the official foreign qualification process.

  • What officially constitutes as "transacting business" in another state?

    If your company has or does any of the following within a state, it is considered to be "transacting business" within it:

    1. You have a physical location or address in the state.
    2. You have employees in a state.
    3. Your company has financial accounts in the state.
    4. You commonly accept orders from within the state's borders

    Unless your business is native to the state in which you do or have any of these things, it will need to successfully foreign qualify in order to continue operating legally.

  • Are there any fees my business must pay to foreign qualify in a state?

    The fees associated with the foreign qualification process vary greatly from state to state. In addition, please keep in mind that there will often be additional annual report and state tax fees that will be due on an ongoing basis with each state in which your business foreign qualifies.

  • What administrative processes must my business observe during foreign qualification?
